This Agreement is between you ("Affiliate") and DIGITVL LLC ("DIGITVL"), and is effective upon your acceptance of this Agreement. Becoming an Affiliate To become an Affiliate, you must complete and submit the Affiliate application form, which includes providing your proper identification and phone number. Once approved, you will receive a unique link to promote the Campaign on your website, social media channels, or through email. Affiliate Obligations As an Affiliate, you agree to promote the Campaign in a manner that is consistent with our marketing guidelines and ethical practices. You will be responsible for ensuring that your promotions do not violate any laws, regulations, or the rights of any third party. Commission As an Affiliate, you will earn a commission of up to 20% of the sales of each song purchase or product you help promote, including event tickets, merchandise, NFTs, and more. The commission rate may be subject to change at any time, in our sole discretion. Payment DIGITVL will pay you the commission within 30 days of the end of each calendar month in which the sale occurred, provided that the sale has not been refunded or charged back. Payment will be made via PayPal or other agreed-upon method. Intellectual Property You acknowledge and agree that DIGITVL owns all intellectual property rights in the Campaign, including but not limited to the name, logo, and all promotional materials. You may use such materials only in the manner authorized by DIGITVL and for the sole purpose of promoting the Campaign. Termination This Agreement may be terminated by either party at any time upon written notice. DIGITVL reserves the right to terminate this Agreement immediately without notice if you violate any of the terms and conditions of this Agreement. Disclaimer of Warranties DIGITVL makes no representations or warranties, express or implied, with respect to the Campaign or any products sold through the Campaign, including but not limited to any implied warranties of merchantability or fitness for a particular purpose. Limitation of Liability In no event shall DIGITVL be liable for any indirect, special, incidental, or consequential damages arising out of or in connection with this Agreement or the Campaign, including but not limited to lost profits or business interruption. Arbitration Any dispute arising out of or relating to this Agreement or the Campaign shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be held in New York, NY, and the arbitrator's decision shall be final and binding. Miscellaneous This Agreement constitutes the entire agreement between you and DIGITVL with respect to the Campaign, and supersedes all prior or contemporaneous communications and proposals, whether oral or written. This Agreement may not be modified except in writing signed by both parties. This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without giving effect to its conflicts of law provisions. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
